TERMS AND CONDITIONS Poi-World, Inc., (EIN: 262171116) - hereinafter: "Poi-World or Service Provider", - undertakes to publish advertisements intended to be released in the database maintained by Poi- World, in accordance with the below Order Conditions (hereinafter Conditions). ORDER CONDITIONS Advertisements may be published in the publications (hereinafter: "Poi- World GPS database") released or issued in the care of Service Provider, pursuant to the contract - "advertisement agreement or order or online order" -concluded between Service Provider, and the advertising company (hereinafter: Customer). By this advertisement agreement the Parties set forth the conditions of publishing specific advertisements, paying the advertisement fee and that of the specific discounts provided by Poi-World. A specific advertisement may be ordered in writing by filling out Service Porvider's form developed for this purposes ("order form") or by completing the online order available on the www.extrapoi.com website. The order includes: customer information, POI information and payment information. The order form is typically applicable for single registration. In case of mass registration and registration by multiple GPS points it may only be used to identify the contracting party, state the pre-determined conditions and the fact that the order was made. In case of mass registration, a separate data disclosure document may set forth the scope of the Displayable Data, or an electronic list (xls, txt etc. formats) provided by the Customer may contain the mass data, which is attached as the appendix of the agreement in accordance with the data negotiated by Poi-World. The publishing period is counted from the date of publishing (issue or release). The issue date of the advertisement(s) which the Customer intends to publish in the Poi World ' database is adjusted to the "release" date. Poi World however, undertakes that it will release all authenticated and financially settled orders in its own database no later than on the 30th calendar day of the performance. DOWNLOADS AND DISPLAYS The number of downloads ascertained/presumed on the basis of the number of GPS-device purchasers/users is not identical to the number of the actual downloads. Poi-World does not undertake any liability for the number of the actual downloads, but will take all reasonable measures in its capacity to increase the number of such downloads. POI displays in the given navigation systems and the scope of the available services depend on the specifications of the equipment and the applied software, thus certain data may not be displayed or may be available in different forms in the various systems. Poi-World undertakes to display the timely delivered, financially performed advertisement which has non-objectionable content in its own database in accordance with this agreement. LIMITATION OF LIABILITY If releasing the advertisement fails due to reasons attributable to Service Provider, as substantiated by the parties, then Service Provider will not be entitled to claim the advertisement fee. Poi-World retains the right to set customized release deadlines in case of unique, irregular images and to apply customized prices in this respect or independent from the above. Poi-World shall not be liable if the advertisement cannot be released pursuant to the terms of the prior agreement due to reasons attributable to the advertiser and/or the late submission of the advertisement. Service Provider will endeavor to release the advertisement in its own system as determined in its advertisement action schedule even in case of the Customer delay. Poi-World undertakes no liability for damage caused by the potential mistakes contained by the advertisements or by failing to release an advertisement (in other words Service Provider is not liable for lost profit). The advertiser is liable for the content of the information appearing in the advertisement. Poi-World undertakes no liability for events obstructing performance that are caused by the special characteristics of the Internet, particularly the traffic, technical or other circumstances typical of the Internet network and are produced by the operations of the Internet and/or the GPS technology. At the moment the team that controls and carries out the technical realization is located in Europe. No technical division has been delegated to the USA yet, so we kindly ask you to take into consideration that your messages received by the European technical division may leave the area of the USA. The amount of claim, which may be brought by the advertiser against Service Provider is limited to the amount of the advertisement fee in all cases. Poi-World bears no liability whatsoever for force majeure events (force majeure shall particularly mean strikes, natural disasters and other insurmountable forces). INDEMNITY You agree to indemnify, defend and hold Poi-World and its affiliates, and their respective officers, directors, owners, agents, information providers and licensors (collectively, the "Poi-World Parties") harmless from and against any and all claims, liability, losses, costs and expenses (including attorneys' fees) incurred by any Poi-World Party in connection with any use or alleged use of the Service under your password by any person, whether or not authorized by you. FEES AND CHARGES Service Provider shall publish the ordered advertisement in exchange for the advertisement fee currently in effect. The advertisement fee includes technical costs regularly arising in the course of publishing advertisements, but do not include the expenses of implementing major amendments requested by the advertiser subsequently. Such expenses must be borne by the advertiser in addition to the advertisement fee. The GSP fee of Poi World is a subscription fee, thus the order will create a payment obligation and Poi- World's service will be performed after receiving the purchase price. The subscription fee shall be paid online by Pay Pal or by check or credit card against the invoice issued by Service Provider. Fees paid for the Service are non-refundable. You agree to pay to Poi-World all applicable fees for the Service, including, but not limited to, the annual fee for the applicable subscription, taxes, and other charges (such as sales, use, excise, public utility and other taxes) levied by domestic or foreign governments. Poi-World reserves the right to change the rates of this agreement upon 30 days notice to you, which notice may be transmitted electronically, verbally or through other means. Service Provider retains the right to set the advertisement fee in deviation of the fee chart, in a lower amount in case of promotions or quantity discounts. TERM AND TERMINATION This agreement is valid for a minimum of 12 month from the date of the completion of full payment. Unless customer cancels the subscription in writing, no later than 30 days before the expiration date, the agreement will automatically be renewed for another 12 month period. This Agreement will commence upon your first subscription for the Service and will remain in full force and effect unless and until your Account is terminated as provided herein. You may terminate your Account at any time, for any reason by following the instructions on our Site. Poi-World may terminate your Account and/or stop providing the Service to you immediately if you are in breach of this Agreement. If you terminate your Account or Poi-World terminates your Account, Poi-World has no obligation to refund you any fees. You understand that the termination of your Account may involve deletion of your Account information from our live databases and all the information (financial, marketing, etc.) stored for such Account. Poi-World will not have any liability whatsoever to you for the termination of your Account or Service, or related deletion of your information. Poi-World may modify, suspend or discontinue the Service at any time, for any reason, at its sole discretion. Within this site, you are not allowed to post (by whatever means) materials that are libelous, defamatory, obscene, pornographic, threatening, invasive of privacy or publicity rights, abusive, illegal, or that Poi-World otherwise deem distasteful or objectionable (at its sole discretion). You are solely responsible for the content of your own messages. We reserve the right to refuse service to you or terminate your account if we, in our sole discretion, believe that your conduct violates these Terms, applicable law or is harmful to our interests, or the interests of our affiliates and partners. TRADEMARKS Poi-World graphics and logos are trademarks of Poi-World, Inc. All other marks contained on this site are the sole property of the parties indicated. PROPRIETARY RIGHTS You acknowledge that all the intellectual property rights in the Service and the underlying technology, and all content on the Site are owned by Poi-World. You agree not to reproduce (except to view content on the Site for your personal purposes), reverse engineer, modify, or create derivative works based on, the Service or Site content. USE OF THE WEBSITE By using this site you accept our terms and conditions. The above are the rules and "Terms" that govern your use of this site and the services offered to you on this site. By using this site you agree to be bound by and to follow these Terms and all applicable laws and regulations governing this site. If you do not agree to these Terms, please do not use this site.
